Terms of Service
Last updated: 2026-11-05
These Terms of Service govern your use of younglytech.com and any quotation, order, or business relationship with YounglyGroup Overseas (Fujian Younglytech Co,. Ltd.). By requesting a quotation or placing an order, you agree to the terms below.
1. Company Information
YounglyGroup Overseas is operated by Fujian Younglytech Co,. Ltd., a company registered in the People's Republic of China, with its overseas business operations contacting sales@younglytech.com. All prices, quotations, and documents issued by us are issued on behalf of this legal entity.
2. Quotations and Orders
All quotations are valid for 30 days from the issue date unless otherwise stated. Quotations are estimates based on the information available at the time of issue and are not a binding offer until accepted by written purchase order. Binding orders are accepted when we issue a written order confirmation or advance payment invoice. We may decline any order without liability.
3. Technical Specifications
Product specifications, dimensions, certifications, and performance data stated in quotations or on this website are provided for guidance. Where a project specification exists, the project specification takes precedence. Custom products are manufactured to the drawings and specification confirmed by the customer in writing before production. We reserve the right to modify specifications without notice where this does not materially reduce functionality.
4. Minimum Order Quantities (MOQ)
MOQ varies by product line and is stated on each product page. Catalog items are available from 1 unit. Custom OEM/ODM products have a typical MOQ of 10 to 50 units per part number. MOQ can be reviewed case by case for prototype, sample, and pilot orders.
5. Lead Times
Stated lead times are estimates in working days from written order confirmation and receipt of agreed advance payment, and are not guaranteed. Delays may arise from force majeure, customer drawing revisions, late customer-supplied components, component availability, shipping delays, or customs clearance. We will notify you promptly of any material delay.
6. Payment Terms
Standard terms are 30% T/T in advance with the balance against copy of bill of lading, or irrevocable L/C at sight. CAD and other terms may be agreed for established relationships. Bank details are provided on the order confirmation invoice only and are subject to change without notice; we will never request bank details by email. Any bank detail received by email should be verified with us by telephone before any payment is made.
7. Delivery and Title
Delivery terms follow the Incoterms agreed in the order confirmation (EXW, FOB, CIF, DAP, or DDP). Risk and title pass as defined by the applicable Incoterms 2020 rule. Please note that a DDP quotation assumes accurate customs classification and import documentation supplied by the buyer.
8. Inspection and Acceptance
Each production batch is subject to our standard pre-shipment inspection and a Factory Acceptance Test report where specified. Goods are deemed accepted 14 days after delivery at the agreed Incoterms point unless a written notice of rejection, detailing the specific defect, is received within that period.
9. Warranty
All products carry a 12-month warranty from the delivery date, covering defects in materials and workmanship under normal use. The warranty does not cover incorrect installation, misuse, unauthorised modification, operation outside stated electrical or environmental limits, or damage from the buyer's failure to follow documented operating instructions. Warranty claims require the serial number, photographs, and a description of the fault.
10. Intellectual Property
All designs, drawings, CAD files, technical documents, photographs, and text on this website are the property of YounglyGroup Overseas or its licensors. Buyer-supplied drawings and specifications remain the property of the buyer, and we use them solely for the purpose of manufacturing the ordered goods. No reproduction of our technical documentation is permitted without written consent.
11. Confidentiality and NDA
We treat all customer-supplied specifications, drawings, and commercial information as confidential and use them only to fulfil the order. We routinely sign mutual non-disclosure agreements before receiving detailed project information. Our standard NDA position is available on request.
12. Limitation of Liability
To the extent permitted by law, our total liability arising from or in connection with an order is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit, production, or business, except where such loss results from our wilful misconduct or gross negligence.
13. Force Majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, government action, trade restriction, embargo, or disruption of transport or communications networks.
14. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China. Disputes that cannot be resolved amicably will be referred to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration, unless the parties agree another forum in the order confirmation.
15. Changes to These Terms
We may update these Terms from time to time. The version in effect at the time your order is confirmed applies to that order. The date of the last update is shown at the top of this page.
